Terms of Service
Effective date: May 10, 2025
1. Agreement
By creating an account or using Signal (“the Service”), you agree to these Terms of Service (“Terms”) between you and Signal Raise Inc. (“Signal Raise,” “we,” “us”). If you are using Signal on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. The Service
Signal is an AI-powered investor outreach platform that helps startup founders discover investors, research their theses, score fit, draft personalized emails, and manage reply threads. The Service includes the Signal web application, API, and any related tools we provide.
3. Accounts and access
- You must provide accurate registration information and keep it current.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- You must be at least 18 years old to use Signal.
- One account per person. You may not share account credentials with others outside of the workspace team feature.
4. Subscription and billing
- Signal offers a 14-day free trial with no credit card required. After the trial, continued use requires a paid subscription.
- Subscription fees are billed in advance on a monthly basis via Stripe.
- All fees are non-refundable except where required by law or at our sole discretion.
- You may cancel your subscription at any time. Your access continues until the end of the current billing period.
- We reserve the right to change pricing with 30 days’ notice to your registered email address.
5. Acceptable use
You agree not to use Signal to:
- Send spam, unsolicited bulk email, or misleading communications.
- Impersonate another person or misrepresent your company or raise details.
- Harvest or scrape investor contact data for resale or use outside Signal.
- Attempt to reverse engineer, decompile, or extract Signal’s proprietary prompts, algorithms, or source code.
- Use the Service in any way that violates applicable laws, including CAN-SPAM, GDPR, or CASL.
- Circumvent plan limits through multiple accounts or other means.
We reserve the right to suspend or terminate accounts that violate these rules without prior notice.
6. Email sending responsibility
Signal sends emails on your behalf using either your Google account (via OAuth2) or SMTP credentials you provide. You are solely responsible for the content of emails sent through Signal and for compliance with applicable email laws in your jurisdiction (including CAN-SPAM, GDPR, and CASL). Signal Raise is not liable for any consequences arising from emails you send via the platform.
7. Google API Services
If you connect your Google account, Signal accesses Gmail solely to send emails and detect investor replies on your behalf. By connecting your Google account, you authorize Signal to access Gmail using the permissions you grant during the OAuth consent flow.
Signal Raise’s use of information received from Google APIs complies with the Google API Services User Data Policy, including the Limited Use requirements. Gmail data is used only to operate Signal’s email and inbox features — not for advertising, training AI models, or any other purpose.
You may revoke Signal’s Gmail access at any time via myaccount.google.com/permissions or from Settings → Email Config in Signal.
8. Intellectual property
Signal Raise retains all rights to the Signal platform, including its AI prompts, interface, and underlying systems. We do not claim ownership of content you create or upload (company profiles, pitch decks, custom email copy).
By using Signal, you grant Signal Raise a limited license to process your content solely to provide the Service to you.
9. AI-generated content
Signal uses AI (Anthropic Claude) to generate investor scores, email drafts, and research summaries. AI-generated content may be inaccurate or incomplete. You are responsible for reviewing all AI-generated content before sending. Signal Raise makes no warranty regarding the accuracy of investor research, scores, or email suggestions.
10. Disclaimer of warranties
Signal is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that any particular investor outreach will result in a meeting or funding. Use of Signal does not guarantee fundraising success.
11. Limitation of liability
To the maximum extent permitted by law, Signal Raise’s total liability for any claims arising from these Terms or your use of Signal is limited to the amount you paid us in the 3 months preceding the claim. Signal Raise is not liable for indirect, incidental, consequential, or punitive damages of any kind.
12. Termination
You may delete your account at any time by contacting support@signalraise.com. We may suspend or terminate your account for violation of these Terms, non-payment, or abuse of the Service. Upon termination, your access ends immediately. Sections 8, 10, 11, and 13 survive termination.
13. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes will be resolved in the state or federal courts located in Delaware.
14. Changes to these Terms
We may update these Terms from time to time. We will notify you by email or via an in-app notice at least 14 days before material changes take effect. Continued use of Signal after the effective date constitutes your acceptance of the updated Terms.
